By accessing the Shift Supply website, purchasing products, or engaging with our digital content, you (“the User” or “the Customer”) acknowledge and agree that you have read, understood, and consented to be bound by these Terms of Service (“Terms”). If you do not accept these Terms, you must immediately discontinue use of our platform.

1. Business & Service Nature

Shift Supply operates as an e-commerce platform providing automotive accessories, emergency supplies, and vehicle maintenance tools. By utilizing our services, you acknowledge that you are at least 18 years of age (or the age of majority in your jurisdiction) and possess the legal authority to enter into this binding agreement.

2. Product Specifications & Accuracy

Descriptions: We make every effort to ensure product descriptions, imagery, and specifications are accurate. However, we do not warrant that site content is error-free, complete, or current.
Technical Variance: Automotive parts may vary by vehicle make, model, and year. It is the sole responsibility of the Customer to verify fitment before purchase. Shift Supply is not responsible for parts that do not fit due to incorrect customer selection.
Product Evolution: We reserve the right to change suppliers, materials, or specifications for any item without notice to improve quality or supply chain efficiency.

3. Purchasing & Financial Obligations

Payment Authorization: By submitting an order, you represent that you are authorized to use the payment method provided.
Pricing Errors: We reserve the right to cancel any order containing pricing errors. If an order is canceled, we will issue a full refund to your original payment method.
Taxes: Customers are responsible for all applicable local, state, or federal taxes associated with their purchase.

4. Shipping, Delivery, and Title

Fulfillment: Our products are fulfilled via third-party logistics. Estimated delivery dates are estimates, not guarantees.
Risk of Loss: Title and risk of loss for items pass to you upon delivery to the carrier. Shift Supply is not responsible for theft, damage, or loss occurring after the carrier has marked the package as "Delivered" to your provided address.
Address Accuracy: Customers are responsible for providing accurate shipping information. We are not liable for costs associated with packages lost due to incorrect address entry.

5. Liability Waiver & Product Usage

Shift Supply provides tools, parts, and accessories that inherently involve risk. By using our products, you agree:

Professional Installation: You acknowledge that many automotive parts (e.g., performance tuning, suspension components) require professional mechanical expertise. You agree to consult with a certified mechanic prior to installation.
Disclaimer of Liability: Shift Supply shall not be held liable for any direct, indirect, punitive, incidental, or consequential damages—including property damage, personal injury, or death—resulting from the installation or use of our products.
Warranty: We provide no express warranties beyond those offered by the original manufacturer. Any implied warranty of merchantability or fitness for a particular purpose is strictly disclaimed to the fullest extent of the law.

6. Indemnification

You agree to defend, indemnify, and hold harmless Shift Supply, its owner, agents, employees, and suppliers from and against any claims, damages, obligations, losses, liabilities, costs, and expenses (including attorney’s fees) arising from:

Your misuse of our products.
Your violation of these Terms.
Your violation of any third-party right, including copyright or property right.

7. Intellectual Property

All content, branding, photography, and text on this site are the exclusive intellectual property of Shift Supply. Unauthorized reproduction, modification, or distribution is strictly prohibited.

8. Dispute Resolution & Arbitration

Mandatory Arbitration: Any dispute arising out of these Terms shall be settled by binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Los Angeles County, California.
Class Action Waiver: You agree that any proceedings will be conducted on an individual basis, not as a class action, and you waive the right to participate in any class action lawsuit against Shift Supply.
Governing Law: These terms are governed by the laws of the State of California.

9. Right to Modify Terms

We reserve the right to update these terms at our sole discretion. Your continued use of the Shift Supply platform following the posting of changes constitutes your acceptance of the updated Terms.

10. Force Majeure

Shift Supply shall not be liable for any failure to perform our obligations under these Terms where such failure results from any cause beyond our reasonable control, including but not limited to, natural disasters, war, strike, or failure of third-party logistics/postal services.

11. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, so that the remaining Terms shall otherwise remain in full force and effect.
